These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and 4RealtyAI ("Company," "we," "us," or "our") governing your access to and use of our AI consulting, implementation services, and proprietary tools.
By signing a Service Agreement, accessing our services, or using our AI tools, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use our services.
"AI Tools" means our proprietary software suite including ShowSmart™, LeadBoost™, SocialSpark™, AdGenie™, MarketVision™, HomeMatch™, TourCast™, DealCheck™, and any future tools developed by 4RealtyAI.
"Implementation Services" means the one-time setup, configuration, integration, training, and deployment services we provide to launch your AI system.
"Partnership Services" means ongoing optimization, monitoring, support, and performance enhancement services provided after implementation.
"Service Agreement" means the signed agreement specifying your selected tier, implementation fee, revenue share percentage, and scope of services.
"Client Data" means all data, content, and information you provide to us, including but not limited to CRM data, listing information, client contacts, marketing materials, and business records.
"Generated Revenue" means revenue directly attributable to leads, opportunities, or transactions facilitated by our AI Tools as determined by our attribution methodology.
"Service Tier" means your selected package: Solo Agent, Power Team, or Brokerage.
We will provide the following one-time services as outlined in your Service Agreement:

Services are delivered according to your selected tier as defined in your Service Agreement. Each tier includes specific AI Tools, features, and support levels.
You agree to pay a one-time implementation fee as specified in your Service Agreement. This fee is:
You agree to pay a monthly revenue share calculated as a percentage of Generated Revenue as specified in your Service Agreement:
Your Service Agreement may include a minimum monthly fee. If your revenue share calculation is below this minimum, you will be charged the minimum amount.
Generated Revenue is determined using the following attribution model:

You may request a full refund of the implementation fee if:
All fees are exclusive of applicable federal, provincial, and local taxes (including GST/HST). You are responsible for all taxes except those based on our net income.
You agree to provide accurate and complete information during onboarding, access to necessary systems, and honest reporting of deal closures and revenue.
You will grant us access to integrate with your CRM and marketing platforms and maintain active subscriptions to required third-party services.
You will provide brand guidelines, logos, and approve all AI-generated content during setup.
You agree to comply with all applicable real estate, privacy, and advertising laws and ensure AI-generated content meets regulatory requirements.
We collect and process Client Data to provide and improve our services, customize AI Tools, and generate analytics.
You retain ownership of all Client Data. We claim no ownership rights to your client contacts, listing data, or business records.
We implement industry-standard security measures including encryption in transit (TLS 1.3) and at rest (AES-256).
For clients using DealCheck™, documents are encrypted, stored in Canadian data centers, and automatically purged after 90 days.
We retain all rights to our AI Tools, algorithms, and trademarks. You retain all rights to your brand name, content, and data. Content generated by our AI Tools using your brand voice is licensed to you for unlimited commercial use.
We target 99% uptime for our AI Tools. Support response times vary by priority, ranging from 4 hours for critical issues to 5 business days for low priority requests.
Performance Expectations: While we strive for optimal results, we do not guarantee specific numbers of leads, conversions, or revenue amounts. AI performance depends on market conditions and factors outside our control.
This agreement begins upon execution of your Service Agreement. You may terminate Partnership Services with 30 days written notice. Implementation fees are non-refundable unless specified otherwise.
DISCLAIMER: EXCEPT AS EXPRESSLY STATED, OUR SERVICES AND AI TOOLS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
OUR TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
WE SHALL NOT BE LIABLE FOR LOST PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES.
Each party agrees to maintain the confidentiality of the other's proprietary information and use it only for the purposes of this agreement. Obligations survive for 3 years after termination.
You may not use our services to violate laws, distribute spam, or infringe on third-party rights. AI-generated content must not make false claims or violate real estate advertising regulations.
Our services may integrate with third-party platforms. You are responsible for maintaining accounts and complying with their terms. We are not liable for third-party service outages.
We reserve the right to modify these Terms. Changes become effective 30 days after notice for existing clients.
Disputes will be resolved through good-faith negotiation, followed by mediation, and finally binding arbitration in Toronto, Ontario. YOU AGREE TO WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS.
These Terms are governed by the laws of Ontario, Canada. This constitutes the entire agreement between parties.
Operates 24/7. You are responsible for reviewing automated responses. Lead capture requires CRM integration.
Generated content requires your review. You are responsible for factual accuracy and compliance.
IMPORTANT: Analysis is for informational purposes ONLY. It is NOT a substitute for professional underwriting, legal advice, or a guarantee of loan approval. You remain responsible for verifying borrower information.
You are responsible for compliance with RECO regulations, privacy laws (PIPEDA), anti-spam laws (CASL), and accessibility standards.
